Training Materials Licence Agreement

This Licence Agreement is made between We Fit RPE Ltd (Licensor) and Transport for London (TfL) (Licensee). Please read it in full. You must agree to it before you can view the training.

1. Definitions

Materials means the We Fit RPE Ltd RPE Awareness Training Programme, including slides, documentation, methodologies, processes, frameworks, guidance and supporting materials. Intellectual Property Rights means all copyright, trademarks, know-how, confidential information and related rights.

2. Grant of Licence

Subject to payment of agreed fees, We Fit RPE Ltd grants TfL a limited, non-exclusive, non-transferable and revocable licence to use the Materials during the Licence Term. Ownership and all Intellectual Property Rights remain with We Fit RPE Ltd.

3. Permitted Use

TfL may use the Materials solely for internal training of directly employed TfL personnel for RPE awareness purposes during the Licence Term. No use by contractors, consultants, agency workers, affiliates or third parties is permitted without prior written consent.

4. Restrictions on Use

TfL shall not share, distribute, sell, sublicense, modify, rebrand, commercially exploit, create derivative works from, or use the Materials to develop a substantially similar training programme. Copyright notices must not be removed.

5. Licence Term

The licence shall continue for the term set out in the signed licence agreement between We Fit RPE Ltd and Transport for London. Upon expiry or termination TfL shall cease use and destroy or permanently delete all copies and certify destruction upon request.

6. Intellectual Property Ownership

All methodologies, technical know-how, RPE awareness processes, regulatory interpretation, guidance and structured training content remain the exclusive intellectual property of We Fit RPE Ltd.

7. Regulatory Responsibility

TfL remains responsible for compliance with applicable legislation and HSE guidance and for ensuring ongoing suitability following regulatory changes.

8. Liability and Disclaimer

The Materials are provided for awareness and guidance purposes only and are supplied 'as is'. Liability is limited to the licence fee paid. We Fit RPE Ltd shall not be liable for indirect or consequential losses.

9. Confidentiality

TfL shall protect the Materials from unauthorised disclosure, copying or distribution.

10. Compliance Verification

We Fit RPE Ltd may request reasonable written confirmation of compliance with this Agreement.

11. Termination

Any material breach entitles We Fit RPE Ltd to terminate the licence immediately by written notice.

12. Non-Transferability

This licence is granted solely to Transport for London and may not be assigned, transferred, sublicensed or made available to any other organisation, department, subsidiary, joint venture or affiliated entity without prior written consent from We Fit RPE Ltd.

13. Governing Law

This Agreement is governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
